How Can I Register My Minnesota Assumed Name?
To register your assumed name (DBA) with the Minnesota Secretary of State (SOS) and to prevent the dangers of operating your business under an unregistered name follow the steps below:
1. FILE: Any individual, corporation, limited partnership or limited liability company (LLC) that conducts business in Minnesota under a name other than its full legal name must file a Certificate of Assumed Name along with a $30.00 filing fee. Filing fees for subsequent amendments are $25.00 per filing.
2. PUBLISH: After filing the Certificate of Assumed Name with the Minnesota Secretary of State, you must publish the Certificate or Amended Certificate of Assumed Name with a qualified Legal Newspaper for two consecutive issues in the county where the principal place of business is located. After publication, the newspaper will return an affidavit of publication which should be retained by the business. Failure to publish may render the filing invalid.
3. RENEW: A Certificate of Assumed Name is valid for 10 years from the date of filing with the SOS. A renewal form will be mailed to the business address on file, six months prior to expiration. There is filing fee of $25.00 to file a renewal.
You can file your business document online using the Secretary of State's Express Filing Services. This is an electronic submission of your request and it will be processed within one business day of receipt. There is a $10.00 express service fee that will be charged in addition to the standard filing fee.
You can obtain the Forms for filing a Certificate of Assumed Name or an amendment to an existing Assumed Name by clicking the link above.
